Acceptance of Terms

By accessing or using Prizer AI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 16 years of age and have the legal capacity to enter into these Terms.

Service Description

Prizer AI is an AI-powered platform that transforms product photos into professional marketing visuals. The Service includes:

  • Image upload and storage
  • AI-powered background removal
  • Generation of marketing visuals using AI models
  • Preset library with professional backgrounds and styles
  • Export functionality for various formats and sizes
  • Team collaboration features
  • Credit-based usage system

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

Account Registration

To use the Service, you must:

  • Create an account with accurate and complete information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account

You must not share your account credentials with others. If you suspect unauthorized access to your account, notify us immediately through the Help Center.

Acceptable Use

You agree not to use the Service to:

  • Upload, generate, or distribute illegal, harmful, or offensive content
  • Infringe on intellectual property rights of others
  • Upload images containing personal data of others without consent
  • Generate deepfakes, misleading content, or content intended to deceive
  • Bypass or attempt to bypass usage limits or security measures
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated systems (bots, scrapers) to access the Service without authorization
  • Interfere with or disrupt the Service or its infrastructure
  • Resell, redistribute, or commercially exploit the Service without authorization

Violation of these terms may result in immediate termination of your account without refund.

Content Ownership

Your Content

You retain ownership of all images and content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited license to:

  • Store and process your images to provide the Service
  • Generate transformed outputs based on your instructions
  • Create temporary copies necessary for processing

This license terminates when you delete your content or close your account.

Generated Content

Images generated by the Service ("Generated Content") belong to you, subject to the following:

  • You may use Generated Content for personal and commercial purposes
  • You are responsible for ensuring you have rights to any source images used
  • Generated Content should not infringe on third-party rights

Our Content

The Service, including its design, features, presets, and underlying technology, remains our property. You may not copy, modify, or create derivative works from any part of the Service.

Credits and Billing

Credit System

The Service operates on a credit-based system. Credits are consumed when generating images. Different operations may consume different amounts of credits based on complexity and output options.

Subscriptions

Subscription plans provide a monthly allocation of credits. Subscriptions are billed in advance on a recurring basis. You may cancel at any time. Completed subscription payments are non-refundable except where required by law.

Credit Purchases

Additional credits may be purchased separately by active paid subscribers. Purchased credits are overflow capacity for active paid subscriptions, expire 12 months after purchase, and are non-transferable and non-refundable once purchased.

If your paid subscription lapses or is canceled, unused purchased credits are preserved until their expiration date but are locked until an active paid subscription is in place.

Pricing Changes

We reserve the right to modify pricing at any time. For active subscriptions, we will provide at least 30 days notice before any price increase takes effect.

Failed Payments

If payment fails, we may suspend access to the Service until the issue is resolved. We will attempt to notify you before any suspension.

Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency maintenance or security updates
  • Third-party service outages (AI providers, cloud infrastructure)
  • Circumstances beyond our reasonable control

We are not liable for any loss or damage resulting from Service unavailability.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Merchantability and fitness for a particular purpose
  • Accuracy, reliability, or completeness of generated content
  • Non-infringement of third-party rights
  • Uninterrupted or error-free operation

AI-generated content may contain errors, inconsistencies, or artifacts. You are responsible for reviewing all outputs before use.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIZER AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from your use or inability to use the Service
  • Damages arising from unauthorized access to your account

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Prizer AI and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content or Generated Content

Termination

We may terminate or suspend your account immediately, without prior notice, for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Extended periods of inactivity

Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your account data after a reasonable retention period
  • Unused credits are forfeited and non-refundable
  • Provisions that should survive termination (ownership, liability, indemnification) remain in effect

You may terminate your account at any time through account settings or by contacting us through the Help Center.

Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Prizer AI is incorporated, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration, except where prohibited by law.

You waive any right to participate in a class action lawsuit or class-wide arbitration against us.

Changes to Terms

We may modify these Terms at any time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page
  • Notify you by email or through the Service
  • Provide at least 30 days notice before changes take effect

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and Prizer AI regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights without restriction.

Refund and Cancellation Policy

Subscription Cancellations

You may cancel your subscription at any time through your account settings or by contacting us through the Help Center. Your subscription will remain active until the end of the current billing period.

Completed subscription payments are non-refundable. We do not provide prorated refunds, credits, or other compensation for unused portions of a billing period, unused subscription credits, or used credits, except where required by law.

Credit Purchases

Credits purchased separately from a subscription are non-refundable and non-transferable once purchased. Purchased credits expire 12 months after purchase and require an active paid subscription to spend.

If your paid subscription lapses or is canceled, unused purchased credits are preserved until their expiration date but are locked until an active paid subscription is in place.

Account Termination

If your account is terminated by us for violation of these Terms or fraudulent activity, any unused credits are forfeited and non-refundable.
